These Terms of Service (the “Terms”) govern your access to and use of the websites, products, and services provided by eProxim (“we”, “us”, or “our”), including the Adjutant AI worker platform (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.
eProxim provides Adjutants — AI-powered software workers that perform business tasks across the systems and integrations you authorize. Specific features, deliverables, and service levels are described in your order form, statement of work, or subscription plan (“Order”).
You must be at least 18 years old and capable of forming a binding contract to use the Services. You are responsible for the accuracy of the information you provide, for safeguarding your account credentials, and for all activity that occurs under your account. Notify us immediately of any unauthorized access.
You retain all rights, title, and interest in the data, documents, communications, and other materials you or your authorized users submit to the Services (“Customer Content”). You grant us a limited, worldwide, royalty-free license to host, copy, transmit, display, and process Customer Content solely as needed to provide and support the Services.

Fees, billing frequency, and payment terms are specified in your Order. Unless stated otherwise, fees are charged in advance, are non-refundable except as expressly provided, and are exclusive of applicable taxes. Late amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.

Adjutants generate output based on the data, instructions, and integrations you provide. AI output may contain errors, omissions, or inaccuracies. You are responsible for reviewing AI output before relying on it for legal, financial, medical, or other consequential decisions. The Services are tools to assist your business, not substitutes for professional judgment.
The Services may interoperate with third-party products, APIs, and platforms (“Third-Party Services”) that you choose to connect. We are not responsible for the availability, accuracy, or behavior of Third-Party Services, and your use of them is governed by their own terms.
Each party agrees to protect the other’s non-public business and technical information disclosed in connection with the Services using at least the same care it uses for its own confidential information of similar sensitivity, and to use such information only as needed to perform under these Terms.
The Services, including all software, models, prompts, designs, and documentation, are owned by eProxim or its licensors and are protected by intellectual-property laws. We grant you a non-exclusive, non-transferable, revocable right to use the Services during your subscription term in accordance with these Terms and your Order.
We may collect aggregated, de-identified usage data to operate, secure, and improve the Services, provided that such data does not identify you or any individual.
These Terms remain in effect for as long as you use the Services. Either party may terminate for a material breach if it is not cured within 30 days of written notice. Upon termination, your right to access the Services ends, and we will delete or return Customer Content as described in our Privacy Policy. Provisions that, by their nature, should survive termination—including confidentiality, intellectual property, indemnity, disclaimers, and limitations of liability—will remain in effect.
The Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that AI output will be accurate, complete, or suitable for your purposes.
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, or lost data, arising out of or related to these Terms or the Services. Our total aggregate liability for all claims arising out of or related to these Terms will not exceed the fees you paid to us for the Services in the twelve (12) months preceding the event giving rise to the claim.
You agree to defend, indemnify, and hold harmless eProxim and its officers, employees, and agents from any third-party claims, damages, or expenses arising from your Customer Content, your use of the Services in violation of these Terms, or your violation of any applicable law.
These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict-of-laws principles. The parties agree to the exclusive jurisdiction of the state and federal courts located in that jurisdiction for any disputes not subject to mandatory arbitration. Where permitted, the parties waive any right to a jury trial.
We may update these Terms from time to time. If we make material changes, we will communicate them by updating the effective date above and, where appropriate, by providing additional notice. Continued use of the Services after the changes take effect constitutes acceptance of the revised Terms.
This agreement, together with any Order and our Privacy Policy, constitutes the entire agreement between you and eProxim regarding the Services. If any provision is found unenforceable, the remaining provisions will remain in effect. Failure by eProxim to enforce any right does not constitute a waiver of that right. You may not assign this agreement without our prior written consent.
